These Terms & Conditions (“Terms”) govern your access to and use of Houdiny AI’s website, applications, and services (collectively referred to as the “Service”), which are provided by SAAS APPS SOLUTIONS FZCO (“Houdiny AI,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any applicable Acceptable Use Policy. If you do not agree with any of these Terms, you may not use the Service.

To use the Service, you must be at least 18 years old and legally authorized to enter binding agreements. By using the Service, you represent and warrant that you meet these eligibility requirements.

You agree to provide accurate and complete information when creating an account and to maintain the accuracy of this information over time. You are responsible for safeguarding your login credentials and agree to be fully responsible for all activities that occur under your account. Houdiny AI is not liable for any losses or damages arising from unauthorized use of your account.

The Service is provided on a subscription basis. All pricing is stated in U.S. dollars and excludes any applicable taxes. Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with these Terms. You authorize us to charge your selected payment method at the beginning of each billing period. If a payment fails, we may suspend or terminate your access to the Service. If a free trial is offered, it will last for seven days unless otherwise stated. You must cancel your subscription at least 48 hours before the trial period ends to avoid being charged.

You may cancel your subscription at any time through your account dashboard or by contacting support at least 48 hours before your next billing date. All payments are non-refundable, and refunds will only be issued at our sole discretion and under exceptional circumstances. We reserve the right to suspend or terminate your account, with or without notice, if you breach these Terms, fail to pay any fees due, or use the Service in violation of applicable laws or our Acceptable Use Policy. Upon termination, we may permanently delete all data associated with your account.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes. You are not permitted to reverse engineer, decompile, or copy any part of the Service; send spam, unsolicited communications, or harmful content; circumvent or disable any technical protections or usage limits; or share or resell access to the Service. Any violation of these restrictions may result in termination of your account and potential legal action.

We retain all rights, title, and interest in the Service, including all underlying software, designs, trademarks, and other intellectual property. You retain ownership of any data or content you upload to the Service (“Your Content”), but you grant us a license to use Your Content to operate, maintain, and improve the Service.

You agree to use the Service in compliance with all applicable laws and regulations, including but not limited to anti-spam laws such as the CAN-SPAM Act, the GDPR, and other relevant data protection and marketing legislation. You must not use the Service to send misleading, abusive, or illegal content. We reserve the right to monitor use of the Service and remove or restrict access to any user or content at our sole discretion.

Your use of the Service is also governed by our Privacy Policy, available athttps://houdiny.ai/privacy-policy.If you process personal data through our Service, you confirm that you have all necessary rights and consents to do so. Where required by applicable law, we will enter into a separate Data Processing Agreement with you.

The Service may integrate with third-party tools or platforms such as email providers or CRM systems. We do not control these third-party services and are not responsible for their availability, security, or functionality. Your use of third-party tools is subject to their own terms and privacy policies.

While we strive to maintain continuous availability of the Service, we do not guarantee uninterrupted access. The Service may become temporarily unavailable due to maintenance, updates, or factors beyond our control. We provide support via email at support@houdiny.ai and aim to respond within a reasonable timeframe.

We may from time to time offer beta or experimental features within the Service. These features are provided “as-is” and may be modified, suspended, or removed at any time without prior notice. Use of beta features is at your own risk.

The Service is provided “as is” without warranties of any kind. We disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the success of any marketing campaign, email deliverability, or specific business outcomes.

To the fullest extent permitted by law, our total liability to you under these Terms shall not exceed the amount you paid to us for the Service in the twelve months preceding the event giving rise to the claim. Under no circumstances will we be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, data, or business opportunities.

You agree to indemnify and hold harmless Houdiny AI, its directors, officers, employees, and affiliates from any third-party claims, losses, liabilities, and expenses (including legal fees) that arise from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

We are not liable for any delay or failure to perform our obligations under these Terms due to events beyond our reasonable control. These may include natural disasters, acts of government, civil unrest, internet outages, or failures by third-party service providers.

You agree to comply with all applicable export and trade regulations. You confirm that you are not located in a country subject to trade embargoes or economic sanctions.

These Terms are governed by the laws of the United Arab Emirates. Any disputes or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

We may revise these Terms at any time by posting an updated version on our website. Your continued use of the Service after the effective date of any changes will constitute your acceptance of the updated Terms.
